Publisher Agreement for GetLeClix, LLC. This Publisher Agreement ("Agreement") is entered into by GetLeClix, LLC ("Affiliate Network") and the undersigned ("Publisher"), effective as of the date set forth on the Insertion Order(s) ("IO"). This Agreement governs the relationship between Affiliate Network and Publisher, outlining their respective rights and obligations regarding the acquisition of consumer actions (e.g., clicks, impressions, purchases, registrations, and submissions of consumer data, "Actions").
Compliance & Indemnity. The Publisher, herein referred to as "Vendor," represents it has the full authority to enter this agreement, binding both the individual(s) and the company they represent. Vendor agrees to indemnify, defend, and hold harmless the Affiliate Network, its employees, directors, officers, and partners from all liabilities, including third-party claims arising from Vendor's operations, customer claims, or breaches of this Agreement. Vendor assumes full responsibility for compliance with all relevant laws, including marketing regulations and consumer telemarketing laws.
SMS TCPA Compliance. Vendor commits to compliance with the Telephone Consumer Protection Act (TCPA) for SMS marketing, ensuring all message recipients have provided explicit consent. Vendor is responsible for maintaining consent records and assumes liability for SMS marketing practices.
Non-Disclosure & Non-Circumvention. Vendor agrees to protect the Affiliate Network's confidential and proprietary information, not disclosing it without prior consent and not circumventing the Affiliate Network's business interests.
Cancellation Policy. Vendor must provide at least 5 business days' notice to terminate services with the Affiliate Network, which reserves the right to terminate immediately for any agreement violations by Vendor.
Payment Terms. Payments are on a net term, payable weekly every Tuesday for the prior weeks traffic and applicable payable conversions tracked and recorded in any of GetLeClix, LLCs applicable tracking technologies, all payables are paid solely on "tracked conversions" unless otherwise agreed upon. Payments will be settled by noon on the due date unless agreed otherwise. Disputes must be communicated within 7 days, with efforts made to resolve promptly.
Marketing Activity. Publisher may engage in email and web-based marketing within legal and ethical standards, submitting URLs for approval and notifying the Affiliate Network of any changes. All leads and consumer data will consist of individuals providing prior express written consent.
Marketing Restrictions. Publisher is restricted from incentivized marketing, using deceptive practices, or violating trademark laws without the Affiliate Network's written consent. Publisher will avoid inappropriate content and respect privacy and data protection laws.
E-Mail Marketing Requirements. Where allowed, Publisher may send commercial emails, adhering to privacy, data protection laws, and maintaining opt-in / opt-out consent records.
Suppression Lists. Publisher will use Suppression Lists only for suppression purposes, respecting confidentiality and non-disclosure requirements.
Term/Termination. The Agreement begins on the Effective Date and ends as specified in the IO, with provisions for termination by either party with two (2) business days' notice.
Advertisements. The Affiliate Network will provide or approve all marketing materials. Publisher agrees to use these materials as approved, without unauthorized modifications.
Reporting. The Affiliate Network will provide final and binding reports. Publisher agrees to invoice based on these reports.
Representations and Warranties. Both parties warrant their authority to enter this Agreement and agree to comply with all applicable laws and regulations.
General Provisions. This consolidated Agreement represents the complete understanding between GetLeClix, LLC and the Publisher regarding the Publisher's obligations, rights, and operational framework, superseding all previous agreements.
